Welcome to the website (the "Site") of vonal ("vonal", "we", "us" and/or "our"). This Site is operated by Anthem Solutions LLC. Vonal provides its services through its website at www.vonal.ai and through its mobile applications and related services (collectively, the "Services"), subject to the following Terms of Service. We reserve the right to modify these Terms at any time; changes become effective no earlier than 14 days after they are posted, except changes for legal reasons or new features which take effect immediately. Continued use after changes take effect constitutes acceptance.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS, INCLUDING A WAIVER OF CLASS AND REPRESENTATIVE ACTIONS.

Additional terms may apply to certain services, including the Privacy Policy, which is incorporated by reference.

Access and Use of the Service

Services Description. Our Services provide a simple platform for live, real-time translation of speech, including transcription, timestamping and related features.

Confidentiality of Your Audio. Audio you provide may contain sensitive information. We will not use or share your audio for any purpose other than providing the Services without your express permission.

Registration. Some features require registration. You agree to provide accurate information. Users under 13 are not authorized; users under 18 require parent or guardian approval.

Account Security. You are responsible for maintaining the confidentiality of your password and account, and for all activity under it. Notify us immediately of any unauthorized use.

Modifications. Vonal may modify or discontinue the Service, in whole or part, with or without notice.

User Conduct

You agree not to use the Service to:

• upload content that infringes intellectual property or other rights, or that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable;
• interfere with or disrupt the Service or its networks;
• violate any applicable law or regulation;
• impersonate any person or entity;
• collect contact information from other users for unsolicited communications;
• access materials through means not made available by the Service.

Fees

To use paid Services you will select a payment plan and provide valid payment information. You authorize vonal to charge your payment instrument on a periodic basis per the plan's terms. Disputes must be raised within 60 days of the charge. We may change prices with 30 days' notice via the Site or email.

Intellectual Property

The Service and its content are protected by copyright, trademark, and other laws. Except as expressly authorized, you may not copy, modify, distribute, sell, or reverse-engineer any part of the Service. The vonal name and logos are trademarks of vonal.

DMCA. Send copyright infringement notices to support@vonal.ai (Subject: "DMCA Takedown Request") or by mail to Anthem Solutions LLC, 1459 18th Street #335, San Francisco, CA 94107.

Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided "as is" and "as available." Vonal disclaims all warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose, title and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, vonal will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for loss of profits, goodwill, use, data or other intangible losses. In no event will vonal's total liability exceed the amount you have paid vonal in the last six (6) months, or, if greater, one hundred dollars ($100).

Dispute Resolution by Binding Arbitration

You and vonal agree that any disputes between us shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court (except for qualifying small-claims actions). The Federal Arbitration Act governs.

YOU AND VONAL AGREE TO BRING CLAIMS AGAINST EACH OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

Pre-Arbitration Notice. Before filing arbitration, send a written Notice of Dispute by certified mail to: Anthem Solutions LLC, 1459 18th Street #335, San Francisco, CA 94107. We will attempt to resolve the matter within 60 days.

Termination

Vonal may suspend or terminate your account at its sole discretion, including for violations of these Terms. We may also discontinue the Service, in whole or in part, at any time.

General

These Terms constitute the entire agreement between you and vonal. They are governed by the laws of the State of California without regard to its conflict-of-law provisions. Any disputes not subject to arbitration shall be brought exclusively in state or federal courts located in San Francisco County, California. Any claim must be filed within one (1) year after it arose or be forever barred.
